The following terms and conditions (the "Loyalty Program Terms"), together with the terms of use found here (the "Terms of Use") (collectively, the "Agreement"), constitute a legally binding contract that governs your use of and access to the CarParts.com+ loyalty program (each, a "Loyalty Program" and the services available thereunder, the "Loyalty Program Service" or the “Services”) as provided by CarParts.com, Inc. ("CarParts.com," "we," "our," or “us”) to you ("you," "yours," "Member"). We also have other policies and procedures incorporated into the Terms of Use to which you may be subject, including, without limitation, our Privacy Policy. Those policies contain additional terms and conditions which apply to the Loyalty Program and/or our website (the "Site"). In the event of conflict between these Loyalty Program Terms and those contained in the Terms of Use, the terms and conditions set forth in these Loyalty Program Terms shall control with respect to all applicable Loyalty Programs. YOUR ACCESS TO OR USE OF ANY LOYALTY PROGRAM OR LOYALTY PROGRAM SERVICE CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO BE BOUND BY THE AGREEMENT. IF YOU DO NOT AGREE TO THE AGREEMENT, YOU ARE NOT AUTHORIZED TO ACCESS, AND MUST IMMEDIATELY CEASE USING, THE LOYALTY PROGRAM. The effective date of these Loyalty Program Terms is the date we process any required initial payments ("Effective Date"). The Agreement is void where prohibited by law, and the right to access any Loyalty Program or use any Loyalty Program Services is revoked in such jurisdictions.

Access and Eligibility

The Loyalty Programs are offered to individual consumers and not to businesses or corporations. The Agreement shall not apply to you if you wish to obtain one or more Loyalty Programs for corporate use. Individuals accessing the Loyalty Program Service for business use are not entitled to avail themselves of any rights in the Agreement.

Loyalty Programs are available to Members who:

1. have applied for the applicable Loyalty Program;
2. are at least twenty-one years of age on or before the Effective Date;
3. agree to provide evidence of their eligibility upon request;
4. have been approved for participation in the Loyalty Program Services by CarParts.com;
5. have read all terms of the Agreement;
6. agree to comply with all the terms of the Agreement and all applicable law, rules, regulations, and ordinances applicable to Members; and
7. have paid all applicable Loyalty Program fees.

(collectively, the "Eligibility Criteria"). You are solely responsible for meeting the Eligibility Criteria and for your use of the Loyalty Program and Loyalty Program Services.

Loyalty Program Benefits (defined below) are the property of CarParts.com, CarParts.com’s licensors, or third parties. We grant you limited, non-exclusive, non-transferable, and revocable permission to access and make use of the Loyalty Program and its features solely for your internal, personal purposes and only as expressly permitted in these Loyalty Program Terms (collectively, "Access"). We reserve the right at our sole discretion to at any time and without notice: (a) limit, suspend, or terminate your account; (b) take technical and legal steps to keep you off the Site; and (c) charge you for any damages and losses arising out of unauthorized use originating in or with your Loyalty Program. Access shall remain in effect until and unless your Loyalty Program term ends, and/or Access is terminated by you or CarParts.com. When Access has been terminated, all licenses and permissions granted hereunder shall automatically terminate and you shall immediately cease your use of the Loyalty Program Service. Any copyrights vested in the Loyalty Program Service are solely the property of, and shall at all times remain the property of, CarParts.com, CarParts.com’s licensors, or third parties, as applicable.

CarParts.com may, in its own discretion, offer multiple types of fee-based, discounted, and/or promotional Loyalty Programs, in some cases subject to additional terms and conditions as disclosed on the applicable Loyalty Program enrollment page ("Supplemental Terms"), which are also incorporated and deemed part of these Loyalty Program Terms, as applicable. If there is a conflict between these Loyalty Program Terms and the Supplemental Terms, the Supplemental Terms control with respect to the applicable Loyalty Program. Any fee-based, discounted, and/or promotional Loyalty Program programs and the availability of such programs, the prerequisites to qualify, and the prices and/or discounts associated therewith, may be offered, revised, or changed at any time without notice to you.

Loyalty Program Benefits

The Loyalty Program Service is a collection of perks, features, services, software, and content CarParts.com provides to Members who have subscribed to the Loyalty Program (each, a "Benefit"). You can find information about the Benefits on the Site. We reserve the right to modify, change, remove, or increase the Benefits herein at any time, and, subject to applicable law, with or without notice. When this happens, some Loyalty Program Services may become unavailable or be made available for free. Members are not permitted to purchase products for the purpose of resale, rental, or delivery to third parties using Benefits.

Third party service providers (each, a "Third Party") supply many of our Benefits, as well as optional promotional plans, other loyalty programs, and special services in conjunction with or through the Loyalty Program. You understand and agree that all such offerings, products, and services are subject to the "Third-Party Services" provisions of our Terms of Use, and we are not responsible for the products and services provided by such third parties. Any transaction entered into or completed via a Third Party is between you and the Third Party, and we are not subject to such transaction. CarParts.com recommends you refer to the Third Party’s terms and policies prior to usage of the Third Party’s website or services in order to carry out your own due diligence. For the avoidance of doubt, CarParts.com does not endorse or approve any Third Party services which were made available via the Loyalty Program.

Loyalty Program Billing

Your Access to the Loyalty Program begins as soon as you have satisfied the applicable Eligibility Criteria. By purchasing a Loyalty Program through the Site, you agree to pay the applicable fees, including without limitation fees that may apply based on the applicable package(s) and feature(s) of the Services you select, as disclosed on the Site’s "checkout" page for your Loyalty Program enrollment transaction. You authorize us to store your payment method(s) and to automatically charge your payment method(s) every month or year, as applicable, until you cancel your Loyalty Program or until your Access is terminated in accordance with the Loyalty Program Terms.

Except as otherwise specified in any Supplemental Terms and based on your selection in "checkout" for your purchase of the Loyalty Program, you will be billed on a recurring and periodic annual or monthly billing cycle ("Billing Cycle"). If you convert from one type of Loyalty Program to another type of Loyalty Program, we will update your applicable Loyalty Program rate and Access as soon as the then-current Billing Cycle ends. We may change your Loyalty Program applicable rate from time to time, in which case such fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in Loyalty Program fees to give you an opportunity to terminate your Loyalty Program before such change becomes effective. Your continued use of the Loyalty Program Service after a new Loyalty Program fee comes into effect constitutes your agreement to pay the modified amount. If during the term of your paid Loyalty Program the applicable sales tax, VAT, GST rate, or any other tax or duty changes, we will adjust the tax-inclusive price for the Loyalty Program on your next billing date.

If the payment method we have on file for you is declined at the Billing Cycle, we may resubmit the applicable fee to another payment method you have on file. If no other payment methods process the transaction, your Loyalty Program will automatically terminate and the Benefits will end. You may have the ability to sign up for another Loyalty Program, which term will begin when the new Loyalty Program’s Eligibility Criteria have been met.

Limitations

You agree not to distribute, share, publish, use, store, or prepare derivative works from any Site content for purposes that are inconsistent with the Agreement. You further agree not to lease, distribute, license, sell, exploit, transfer, provide access to, assign, or grant rights in or to your Loyalty Program account or any Benefit to any third party. We reserve the right to accept or refuse membership in a Loyalty Program at our discretion.

At its discretion, CarParts.com may at any time without notice, or with notice as required by applicable law, change, modify, suspend, or discontinue the availability of: any Loyalty Program; the Loyalty Program Services available thereunder; the Loyalty Program’s fees, charges, features, and content; and the terms of the Agreement. CarParts.com may also at any time impose limits on certain features, restrict your access to certain Benefits, or revoke your Access without liability.

We do not warrant your use of the Loyalty Program will be uninterrupted or error-free. We are not responsible for any delays, delivery failures, or any other loss or damage resulting from the administration of any Benefit, and you acknowledge the Loyalty Program may be subject to limitations, delays, and other problems inherent in the administration of such Benefits. You are not entitled to a refund of your Loyalty Program fee or to a reimbursement of your costs if a Benefit is unfulfilled or results in damage or inconvenience through no fault of CarParts.com.

Subscription Automatic Renewal and Cancellation Terms

At the end of each Billing Cycle, your Loyalty Program will automatically renew under the terms and conditions of the Agreement (as then in effect), and we will automatically charge you the then-current rate for the type of Loyalty Program you have selected and applicable taxes every month or year, as applicable, with or without notice (but as required by applicable law) until you cancel or until your Access is terminated by CarParts.com in accordance with the Agreement.

You may cancel your Loyalty Program within three (3) days of signing up, provided you have not used any of the Benefits. You may cancel auto-renewal of your Loyalty Program at any time, either through your CarParts.com dashboard (under the Memberships section); by contacting our customer support team at 1-866-529-0412; by sending an email via the Email Us form on the Site; or through live chat with a customer support agent on the Site; however, there are no refunds for early cancellation, and you understand and agree that in such case you shall receive no refund or exchange for any unused time of any Loyalty Program. In the event CarParts.com terminates your Loyalty Program without cause, you may be entitled to a pro-rata refund of any prepaid unearned fees.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, CARPARTS.COM DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.  YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (A) THE LOYALTY PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS; (B) CARPARTS.COM DOES NOT WARRANT THAT (i) YOUR PARTICIPATION IN THE LOYALTY PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (ii) THE LOYALTY PROGRAM WILL MEET YOUR REQUIREMENTS, OR (iii) THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE LOYALTY PROGRAM WILL MEET YOUR EXPECTATIONS; AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE LOYALTY PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.

Liability and Disputes

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE TO DEFEND, INDEMNIFY, RELEASE, AND HOLD HARMLESS CARPARTS.COM AS WELL AS ITS SUBSIDIARIES, AFFILIATES, EMPLOYEES, DIRECTORS, OFFICERS, AND AGENTS, AND ANY PERSON OR ENTITY ASSOCIATED WITH THE PRODUCTION, OPERATION, OR ADMINISTRATION OF THE LOYALTY PROGRAM (COLLECTIVELY, THE “RELEASED PARTIES”), FROM ANY AND ALL CLAIMS, ACTIONS, DEMANDS, DAMAGES, PENALTIES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING, BUT NOT LIMITED TO, REASONABLE ATTORNEYS’ FEES) IN ANY WAY CAUSED BY, ARISING OUT OF, IN CONNECTION WITH, OR RELATED TO THE LOYALTY PROGRAM, THE SENDING OF ELECTRONIC MESSAGES, AND/OR THE AWARDING, RECEIPT, AND/OR USE OR MISUSE OF ANY BENEFIT IN THE LOYALTY PROGRAM.  TO BE CLEAR, THE RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY TECHNICAL ERRORS OR MALFUNCTIONS, DATA THEFT, OR CORRUPTION, ANY PRINTING OR TYPOGRAPHICAL ERROR, OR ANY DAMAGE TO ANY COMPUTER SYSTEM RESULTING FROM PARTICIPATING IN, OR ACCESSING OR DOWNLOADING INFORMATION IN CONNECTION WITH THE LOYALTY PROGRAM.  THE RELEASED PARTIES SHALL NOT BE LIABLE TO ANY USERS FOR FAILURE TO SUPPLY ANY ADVERTISED BENEFIT, BY REASON OF ANY ACTS OF GOD, ANY ACTION OR REQUEST BY ANY GOVERNMENTAL OR QUASI-GOVERNMENTAL ENTITY (WHETHER OR NOT VALID), OR ANY OTHER ACTIVITY OR ACTION THAT IS BEYOND ANY OF THE RELEASED PARTIES’ CONTROL, WHETHER SIMILAR OR DISSIMILAR.

TO THE FULLEST EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES SHALL CARPARTS.COM OR OUR SUBSIDIARIES, AFFILIATES, EMPLOYEES, DIRECTORS, OFFICERS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND CAUSED BY, ARISING OUT OF, IN CONNECTION WITH, OR RELATED TO THE LOYALTY PROGRAM, THE SENDING OF ELECTRONIC MESSAGES, AND/OR THE AWARDING, RECEIPT AND/OR USE OR MISUSE OF ANY BENEFIT IN THE LOYALTY PROGRAM.  THIS LIMITATION APPLIES EVEN IF CARPARTS.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  

IN ADDITION TO AND WITHOUT LIMITING ANY OTHER LIMITATIONS AND EXCLUSIONS IN THE AGREEMENT, OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE LAST LOYALTY PROGRAM FEE YOU PAID IMMEDIATELY PRIOR TO THE CLAIM ARISING. THIS LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

AS PROVIDED IN SECTION 13 OF OUR TERMS OF USE, ALL DISPUTES, INCLUDING DISPUTES ARISING FROM OR RELATING TO THE AGREEMENT, ARE REQUIRED TO BE RESOLVED BY ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN BY JURY TRIAL OR CLASS ACTIONS, EXCEPT AS OTHERWISE PROVIDED BY SECTION 13. IF YOUR COUNTRY OF RESIDENCE IS IN THE EUROPEAN ECONOMIC AREA THIS APPLIES TO ANY ACTION YOU MAY WANT TO BRING AGAINST CARPARTS.COM IN THE UNITED STATES.
THE REQUIREMENTS OF THIS LIABILITY AND DISPUTES SECTION WILL SURVIVE THE CANCELLATION OR TERMINATION OF YOUR LOYALTY PROGRAM FOR ANY REASON.

Points Value; No Cash Value

Points are considered earned when purchases have been paid for in their entirety, and will not be available for redemption until they are accounted for by CarParts.com and reported to the applicable Third Party. Points do not expire; however, Points have no cash or monetary value and do not constitute money, currency, legal tender, property, a deposit, a gift card, a stored-value instrument, or any other financial instrument. Points represent only a limited, revocable license to participate in the Loyalty Program and confer no ownership, vested, or property right of any kind. Points have no value unless and until they are redeemed for a reward in accordance with these Loyalty Program Terms, and any such value is realized solely in the form of the reward (for example, a discount applied to an eligible purchase at checkout) issued upon redemption and is subject to the terms of that reward.

Points are not redeemable, exchangeable, or convertible for cash, and no Member or any other person has any right to receive, demand, or claim cash or any other payment, credit, or compensation in lieu of redeeming Points for a reward. Points may not be sold, transferred, assigned, pledged, gifted, bartered, willed, or otherwise disposed of except as expressly permitted in these Loyalty Program Terms, and any attempt to do so is void.

Because Points have no cash value, the issuance and accumulation of Points do not create, and shall not be construed as creating, any debt, account balance, deposit, or monetary liability or obligation owed by CarParts.com to any Member. CarParts.com shall have no obligation to pay cash or provide any monetary compensation for Points under any circumstances, including upon the forfeiture or expiration of any reward, the closure of a Member’s account, a Member ceasing to participate in the Loyalty Program, or the suspension, modification, discontinuation, or termination of the Loyalty Program for any reason. Any taxes or other charges arising from the receipt or redemption of Points or rewards are the sole responsibility of the Member.

Privacy

All individuals who create or maintain a CarParts.com account are automatically enrolled in the Member Tier of the Loyalty Program unless they affirmatively opt out. Access to higher-level tiers is accessible to members for a fee. 

Participation requires a CarParts.com account associated with a unique identifier (email or phone number). In connection with the operation of the Loyalty Program, we will collect vehicle information, points balance and accrual history, reward redemption history, tier or membership status, and inferences drawn from your purchase and browsing activity to personalize your loyalty experience.

Participation in the Loyalty Program constitutes consent to receive Program-related communications, including:

1. Points balance updates;
2. Redemption confirmations;
3. Points balance reminders;
4. Tier notifications;
5. CarParts+ Gold Tier billing and renewal notices; and
6. Marketing or promotional offers

Transactional communications are a condition of participation. Members may opt out of marketing communications at any time without affecting Program participation.

Information collected in connection with the Loyalty Program:

1. Is not sold in connection with CarParts+;
2. May be processed by trusted service providers for Program administration, including the Program's loyalty platform provider, the Roadside Provider (providing benefits for CarParts+ Gold Tier Members who request roadside services), and the subscription billing processor (for CarParts+ Gold Tier Members);
3. Is used to administer Points tracking, deliver Membership benefits, and provide Program-related communications.

All collection, use, and disclosure of personal information in connection with the Program is governed by the CarParts.com Privacy Policy. 

The Loyalty Program does not offer a standalone opt-out; however, a membership can be downgraded from a fee-based membership to Member Tier only by contacting CarParts.com customer service. Because enrollment in the Member Tier is a feature of holding a CarParts.com account, a Member who no longer wishes to participate may do so only by deleting their CarParts.com account. A Member may close the underlying CarParts.com account at any time by contacting CarParts.com customer service or by submitting a deletion request in accordance with the CarParts.com Privacy Policy. If you request deletion of personal information or close your account, your participation will terminate and all Points will be forfeited, as we have no way of tracking or redeeming your Points.

General

The Loyalty Program and redemption of Points are subject to all applicable laws and regulations.  Accrual and redemption of Points may be subject to income tax and other taxes; such taxes are your sole responsibility.

Your use of the CarParts website and setting up your Loyalty Program account will be governed by the Agreement and any terms and conditions for use of the CarParts.com website.

These Loyalty Program Terms, together with the Terms of Use and all applicable Supplemental Terms, constitute the entire and exclusive understanding and agreement between you and CarParts.com regarding your Access to and use of the Loyalty Program and Loyalty Program Service, and supersede and replace any and all prior or contemporaneous oral or written understandings or agreements between you and CarParts.com regarding the subject matter hereof. No terms of the Agreement shall be modified, waived, or discharged unless the modification, waiver, or discharge is approved in writing by CarParts.com.  No waiver by either party of any breach of, or of compliance with, any condition or provision of these Loyalty Program Terms by the other party shall be considered a waiver of any other condition or provision or of the same condition or provision at another time. If an arbitrator or a court of competent jurisdiction finds any provision of the Agreement to be invalid, void, or unenforceable, in whole or in part, for any reason, the offending provision will be enforced to the maximum extent permissible and will not affect the validity or enforceability of the remaining provisions, which will remain in full force and effect. Any provisions of the Agreement that contemplate performance or observance subsequent to the expiration or termination of the Agreement or applicable Loyalty Program or Loyalty Program Services shall survive such expiration or termination. Any notices or other communications permitted or required hereunder, including those regarding modifications to the Loyalty Program Terms, will be in writing and given by CarParts.com (i) via e-mail to the address that you provide, or (ii) by posting to or through the Site. Except with regard to the Arbitration Agreement and all matters related in any way to arbitration and dispute resolution, which are governed exclusively by the Federal Arbitration Act, these Loyalty Program Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
