The following terms and conditions (the “Membership Terms”), together with the terms of use found at here (the “Terms of Use”) (collectively, the “Agreement”), constitute a legally binding contract that governs your use of and access to the CarParts.com+ membership program  (each, a “Membership” and the services available thereunder, the “Membership Service”) as provided by CarParts.com Inc. (“CarParts.com ,” “we,” “our”) to you (“you,” “yours,” “Member”).  We also have other policies and procedures incorporated into the Terms of Use to which you may be subject, including, without limitation, our Privacy Policy. Those policies contain additional terms and conditions which apply to the Membership and/or our website (the “Site”).  In the event of conflict between these Membership Terms and those contained in the Terms of Use, the terms and conditions set forth in these Membership Terms shall control with respect to all applicable Memberships.  YOUR ACCESS TO OR USE OF ANY MEMBERSHIP OR MEMBERSHIP SERVICE CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO BE BOUND BY THE AGREEMENT.  IF YOU DO NOT AGREE TO THE AGREEMENT, YOU ARE NOT AUTHORIZED TO ACCESS, AND MUST IMMEDIATELY CEASE USING, THE MEMBERSHIP.  The effective date of these Membership Terms is the date we process any required initial payments (“Effective Date”).  The Agreement is void where prohibited by law, and the right to access any Membership or use any Membership Services is revoked in such jurisdictions.

1. Access and Eligibility

The Memberships are offered to individual consumers and not to businesses or corporations.  The Agreement shall not apply to you if you wish to obtain one or more Memberships for corporate use.  Individuals accessing the Services for business use shall not be entitled to avail themselves to any rights herein.

Memberships are available to Members who:

• have applied for the applicable Membership;
• can represent they are at least twenty-one years of age on or before the Effective Date;
• agree to provide evidence of their eligibility upon request;
• have been approved for participation in the Membership Services by CarParts.com .
• have read all terms of the Agreement.
• agree to comply with all the terms of this Agreement and all applicable law, rules, regulations, and ordinances applicable to Members; and
• have paid all applicable membership fees.

(collectively, the “Eligibility Criteria”).  You are solely responsible for meeting the Eligibility Criteria and for your use of the Membership and Membership Services. 

Membership Benefits (defined below) are the property of CarParts.com , CarParts.com’s licensors, or third parties.  We grant you limited, non-exclusive, non-transferable, and revocable permission to access and make use of the Membership and its features solely for your internal, personal purposes and only as expressly permitted in these Membership Terms (collectively, “Access”).  We reserve the right at our sole discretion to: (a) limit, suspend, or terminate your account; (b) take technical and legal steps to keep you off the Site; and (c) charge you for any damages and losses arising out of unauthorized use originating in or with your Membership.  Access shall remain in effect until and unless your Membership term ends, and/or Access is terminated by you or CarParts.com .  When Access has been terminated, all licenses and permissions granted hereunder shall automatically terminate and you shall immediately cease your use of the Membership Service.  Any copyrights vested in the Membership Service shall remain with CarParts.com , CarParts.com ’s licensors, or third parties, as applicable.

CarParts.com may, in its own discretion, offer multiple types of fee-based, discounted, and/or promotional Memberships, in some cases subject to additional terms and conditions as disclosed on the applicable Membership enrollment page (“Supplemental Terms”), which are also incorporated and deemed part of these Membership Terms, as applicable.  If there is a conflict between these Membership Terms and the Supplemental Terms, the Supplemental Terms control with respect to the applicable Membership.  Any fee-based, discounted, and/or promotional Membership programs and the availability of such programs, the prerequisites to qualify, and the prices and/or discounted associated therewith, may be offered, revised, or changed without notice to you. 

 

2. Membership Benefits

The Membership Service is a collection of perks, features, services, software, and content CarParts.com provides to Members who have subscribed to the Membership (each, a “Benefit").  You can find information about the Benefits on the Site. We reserve the right to modify, change, remove, or increase the Benefits herein at any time, and, subject to applicable law, with or without notice.  When this happens, some Membership Services may become unavailable or be made available for free.  Members are not permitted to purchase products for the purpose of resale, rental, or delivery to third parties using Benefits.  

Third party service providers (each, a “Third Party”) supply many of our Benefits, as well as optional promotional plans, other memberships, and special services in conjunction with or through the Membership.  You understand and agree that all such offerings, products, and services are subject to the “Third-Party Services” provisions of our Terms of Use, and we are not responsible for the products and services provided by such third parties.  Any transaction entered into or completed via a Third Party is between you and the Third Party, and we are not subject to such transaction. CarParts.com recommends you refer to the Third Party’s terms and policies prior to usage of the Third Party’s website or services in order to carry out your own due diligence.  For the avoidance of doubt, CarParts.com does not endorse or approve any Third Party services which was made available via the Membership.

 

3. Membership Billing

Your Access to the Membership begins as soon as you have satisfied the applicable Eligibility Criteria. By purchasing a Membership through the Site, you agree to pay the applicable fees, including without limitation fees that may apply based on the applicable package(s) and feature(s) of the Services you select, as disclosed on the Site’s “checkout” page for your Membership enrollment transaction.  You authorize us to store your payment method(s) and to automatically charge your payment method(s) every month or year, as applicable, until you cancel your Membership or until your Access is terminated in accordance with the Membership Terms. 

Except as otherwise specified in any Supplemental Terms and based on your selection in “checkout” for your purchase of the Membership, you will be billed on a recurring and periodic annual or monthly billing cycle (“Billing Cycle”).  If you convert from one type of Membership to another type of Membership, we will update your applicable Membership rate and Access as soon as the then-current Billing Cycle ends. We may change your Membership applicable rate from time to time, in which case such fee change will become effective at the end of the then-current Billing Cycle.  We will provide you with reasonable prior notice of any change in Membership fees to give you an opportunity to terminate your Membership before such change becomes effective.  Your continued use of the Membership Service after a new Membership fee comes into effect constitutes your agreement to pay the modified amount.  If during the term of your paid Membership the applicable sales tax, VAT, GST rate, or any other tax or duty changes, we will adjust the tax-inclusive price for the Membership on your next billing date.

If the payment method we have on file for you is declined at the Billing Cycle, we may resubmit the applicable fee to another payment method you have on file.  If no other payment methods process the transaction, your Membership will automatically terminate and the Benefits will end.  You may have the ability to sign up for another Membership, which term will begin when the new Membership’s Eligibility Criteria have been met.  

 

4. Limitations and Warranties

You agree not to distribute, share, publish, use, store, or prepare derivative works from any Site content for purposes that are inconsistent with the Agreement.  You further agree not to lease, distribute, license, sell, exploit, transfer, provide access to, assign, or grant rights in or to your Membership account or any Benefit to any third party.  We reserve the right to accept or refuse Membership at our discretion. 

CarParts.com may at any time, with or without notice as required by applicable law, change, modify, suspend, or discontinue the availability of: any Membership; the Membership Services available thereunder; the program’s fees, charges, features, and content; and the terms of the Agreement.  CarParts.com may also impose limits on certain features, restrict your access to certain Benefits, or revoke your Access without liability.

We do not warrant your use of the Membership will be uninterrupted or error-free.  We are not responsible for any delays, delivery failures, or any other loss or damage resulting from the administration of any Benefit, and you acknowledge the Membership may be subject to limitations, delays, and other problems inherent in the administration of such Benefits.  You are not entitled to a refund of your Membership fee or to a reimbursement of your costs if a Benefit is unfulfilled or results in damage or inconvenience through no fault of CarParts.com.   

 

5. Subscription Automatic Renewal and Cancellation Terms

At the end of each Billing Cycle, your Membership will automatically renew under the terms and conditions of the Agreement (as then in effect), and we will automatically charge you the then-current rate for the type of Membership you have selected and applicable taxes every month or year, as applicable, with or without notice (but as required by applicable law) until you cancel or until your Access is terminated by CarParts.com in accordance with the Agreement.

You may cancel your Membership within three (3) days of signing up, provided you have not used any of the Benefits.  You may cancel auto-renewal of your Membership at any time, either through your CarParts.com dashboard (under the Memberships section); by contacting our customer support team at 1-866-529-0412; by sending an email via the form at Email Us | CarParts.com ; or through live chat with a customer support agent on the Site; however, there are no refunds for early cancellation, and you understand and agree that in such case you shall receive no refund or exchange for any unused time of any Membership.  In the event CarParts.com terminates your Membership without cause, you may be entitled to a pro-rata refund of any prepaid unearned fees.

 

6. Liability and Disputes

NOTWITHSTANDING ANY OTHER LIMITATIONS AND EXCLUSIONS IN THE TERMS OF USE, OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE LAST MEMBERSHIP FEE YOU PAID. THIS LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR MEMBERSHIP.

SECTION 13 OF OUR TERMS OF USE REQUIRES THAT ALL DISPUTES, INCLUDING DISPUTES ARISING FROM OR RELATING TO THE AGREEMENT, BE RESOLVED BY ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN BY JURY TRIAL OR CLASS ACTIONS, EXCEPT AS OTHERWISE PROVIDED BY SECTION 13.  IF YOUR COUNTRY OF RESIDENCE IS IN THE EUROPEAN ECONOMIC AREA THIS APPLIES TO ANY ACTION YOU MAY WANT TO BRING AGAINST CARPARTS.COM IN THE UNITED STATES.

 

7. General

These Membership Terms, together with the Terms of Use and all applicable Supplemental Terms, constitute the entire and exclusive understanding and agreement between you and CarParts.com regarding your Access to and use of the Membership and Membership Service, and supersede and replace any and all prior or contemporaneous oral or written understandings or agreements between you and CarParts.com regarding the subject matter hereof.  If an arbitrator or a court of competent jurisdiction finds any provision of the Agreement to be invalid, void, or unenforceable, in whole or in part, for any reason, the offending provision will be enforced to the maximum extent permissible and will not affect the validity or enforceability of the remaining provisions, which will remain in full force and effect.  Any provisions of the Agreement that contemplate performance or observance subsequent to the expiration or termination of the Agreement or applicable Membership or Membership Services shall survive such expiration or termination.  Any notices or other communications permitted or required hereunder, including those regarding modifications to the Membership Terms, will be in writing and given by CarParts.com (i) via e-mail to the address that you provide, or (ii) by posting to or through the Site.
